1. ACCEPTANCE OF TERMS

   By accessing or using the VendorCredit Website/App, including all VendorCredit products (hereinafter referred to as the "Platform"), you agree to comply with and be bound by these Terms of Use together with any documents they expressly incorporate by reference (hereinafter referred to as the "Terms"). If you do not agree with the Terms, please refrain from using the Platform.

2. DESCRIPTION OF SERVICE

   1. VendorCredit is a financial solutions platform designed to assist micro and small businesses with access to a comprehensive suite of credit facilities and other financial tools and services. Our products include, but are not limited to:
   • Local Purchase Orders
   • Invoice Discounting Finance
   • Asset Finance Loans
   • Working Capital Loans
   2. You can use the Platform to:
   • Open your VendorCredit account.
   • View and manage your VendorCredit account and all related service.
   • Make applications to obtain a credit facility, or other products made available on the Platform.
   • Keep track of payment and repayment dates
   • Make payments and repayments on credit facilities.
   3. All applications, payments and repayments made on the Platform are governed by the applicable Credit Agreement which are hereby incorporated into the Terms.
   4. Additional terms and conditions may also apply to specific portions, services or features of the Platform. All such additional terms and conditions are hereby incorporated by reference into the Terms.

3. USER REGISTRATION

   1. To access certain features of the Platform, you may be required to register for an account (your "Account"). You agree to provide accurate, current, and complete 2 information during the registration process and to promptly update such information to keep it accurate, current, and complete.
   2. By creating your Account, you represent and warrant that you are of legal age to form a binding contract with VendorCredit and meet all eligibility requirements as may be imposed by VendorCredit from time to time.
   3. You are responsible for maintaining the confidentiality of your Account credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized access to or use of your Account.
   4. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you have the responsibility to treat such information as confidential. You must not disclose it to any third party.
   5. VendorCredit reserves the right to disable any username, password or other identifier whether chosen by you or provided by us, at any time in our sole discretion for any reason including if, in our opinion, you have violated any provision of the Terms.

4. USER CONDUCT

   1. You agree not to use the Platform for any unlawful or prohibited purpose. You may not use the Platform in any way that could damage, disable, overburden, or impair VendorCredit's servers, or the network(s) connected to VendorCredit's servers, or interfere with any other person's use and enjoyment of the Platform.

5. LOAN APPLICATIONS AND APPROVAL

   1. VendorCredit offers a simplified and efficient loan application process. However, all loan applications are subject to creditworthiness assessments, approval criteria and other conditions as may be imposed by VendorCredit. Submission of a loan application does not guarantee loan approval.
   2. Loan terms, including interest rates, repayment schedules, and loan amounts, may vary based on individual credit profiles and business circumstances

6. INTELLECTUAL PROPERTY

   1. All content on the Platform, including but not limited to text, graphics, logos, images, videos, software, and any other materials, is the property of VendorCredit and is protected by intellectual property laws. You may not modify, reproduce, 3 distribute, create derivative works, publicly display, or perform any of the content without the prior written consent of VendorCredit.
   2. You may use the Platform's features and tools intended for managing your business finances and exploring loan options, subject to the Terms.
   3. You must not use any part of the content on our site for commercial purposes without obtaining a licence to do so from us or our licensors.

7. PRIVACY

   1. Your use of the Platform is also governed by our Privacy Policy, which can be found at Privacy Policy. By using the Platform, you consent to the collection and use of your Personal Data as described in the Privacy Policy.
   2. We will use your information for a number of different purposes, for example, to manage your Account(s), to provide our products and services to you and others, to provide access to the products and services of trusted third parties, to onboard you as a customer, to access your location if you use certain features (where applicable), to send you push notifications (if you enable them) and to meet our legal and regulatory obligations. We may also share your information with our trusted third parties for these purposes and in some cases these third parties may require you to accept further terms and conditions

   1. Our Platform uses cookies and similar technologies to help the Platform work and collect information about how to use the Platform and enable us improve it.
   2. Cookies are used to enable us verify that it is you using the Platform and helps us detect and prevent fraud.

This includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.

10. GEOGRAPHIC RESTRICTIONS

    VendorCredit is based in Nigeria and the Platform is provided for use only by persons located in Nigeria. We make no claims that the Platform or any of its content is accessible or appropriate outside Nigeria. Access to the Platform may not be legal by certain persons or outside Nigeria and you agree that accessing the Platform outside Nigeria was done on your own initiative and you are solely responsible for compliance with local laws.

11. TERMINATION

    VendorCredit reserves the right to terminate your access to the Platform at any time, with or without cause, and with or without notice.

12. DISCLAIMER OF WARRANTIES

    1. The Platform is provided on an "as-is" and "as-available" basis. VendorCredit makes no representations or warranties of any kind, express or implied, regarding the operation or safety of the Platform or the content, materials, information, or products included on the Platform.
    2. To the fullest extent provided by law, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the Platform or any services or items obtained through the Platform or to your downloading of any material posted on it, or on any website linked to it.
    3. VendorCredit reserves the right to withdraw or amend the Platform, and any service or material provided on the Platform in its sole discretion and without notice. VendorCredit may also, from time to time, restrict access to some parts of the Platform, the entire Platform, or to users including registered users.
    4. To the fullest extent provided by law, VendorCredit hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

13. LIMITATION OF LIABILITY

    1. To the fullest extent permitted by applicable law, VendorCredit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
    • Your use or inability to use the Platform.
    • Any unauthorized access to or use of our servers and/or any personal information stored therein.
    • Any errors or omissions in the content or information provided on the Platform.
    • Any financial decisions or actions taken based on information obtained from the Platform.
    2. In no event shall VendorCredit's total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), or otherwise, exceed N100,000.00.

14. INDEMNIFICATION

    You agree to defend, indemnify, and hold harmless VendorCredit, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of the Terms or your use of the Platform, including, but not limited to any use of the Platform's content, services, and products other than as expressly authorized in the Terms, or your use of any information obtained from the Platform.

15. WAIVER AND SEVERABILITY

    1. No waiver by VendorCredit shall be valid unless put down in writing. No waiver of any term or condition set out in the Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of VendorCredit to assert a right or provision under the Terms shall not constitute a waiver of such right or provision.
    2. To the fullest extent provided by law, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the Platform or any services or items obtained through the Platform or to your downloading of any material posted on it, or on any website linked to it.
    3. If any provision of the Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. GOVERNING LAW AND DISPUTE RESOLUTION

    1. The Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
    2. Any dispute, claim, or controversy arising out of or relating to the Terms or your use of the Platform shall be resolved through arbitration by a single arbitrator appointed by VendorCredit, or such an arbitrator shall be appointed by the President of the Lagos Court of Arbitration upon application by either Party.
    3. The arbitration shall be conducted in accordance with the provisions of the Arbitration and Mediation Act, 2023. The place of arbitration shall be Lagos State of Nigeria. The language of the arbitration shall be English.
    4. The decision of the Arbitrator shall be final and binding upon the Parties and shall include an order as to the costs of such arbitration and who shall pay them. Before obtaining an order as to cost, Parties shall bear their respective cost and jointly share the arbitrator’s cost and cost of the proceedings
    5. The inclusion of this arbitration clause shall not prevent a Party from seeking urgent injunctive or other equitable reliefs from a competent court in Nigeria in appropriate circumstances.

17. CHANGES TO TERMS

    1. VendorCredit reserves the right to change or modify the Terms at any time without notice. Any changes or modifications will be effective immediately upon posting on the Platform. Your continued use of the Platform following the posting of changes or modifications will constitute your acceptance of such changes or modifications. You are expected to check this page each time you access the Platform so you are aware of any changes, as they are binding on you.
